License summary
What you own, and what you license
Your data and your documents are yours. The tools we build stay ours, and your firm gets a license to use them that does not expire.
Yours outright
- Your data, and everything you put into a tool.
- Reports, memos, analyses, documentation and models we write for you, once they are paid for.
- Any changes you make to a tool.
- Anything your own team builds after we train you.
Licensed to you
- Tools: trackers, dashboards, web apps, automations, workbooks, templates and prompt libraries, with their code, design and setup.
- The license starts when the tool is paid in full, and it does not expire.
- It belongs to your firm. We can license similar tools to other firms.
What you may do
- Use the tool to run your firm and serve your own clients.
- Let your partners, employees and contractors use it for your firm's work.
- Change it, extend it and connect it to your other systems.
- Keep backup copies.
What you may not do
- Sell, rent, sublicense or give the tool, or a copy of it, to anyone outside your firm.
- Use the tool or its code to build a product for sale to others.
- Remove our name or notices from it.
- Describe the tool or what it produces as audited, certified or reviewed by us.
Support, updates and hosting
The license does not include support or updates. Those come with a membership, or are billed at our hourly rate. A web tool needs hosting. A membership includes it. Without one, hosting is billed monthly, or you can host the tool yourself after a handoff.
When a membership ends
We hand the tool over so your firm can run it without us:
- The hosting project, the database and the code repository are moved into accounts you control.
- You get the admin login, the Owner's Guide and the setup runbook.
- You get a full export of your data.
- We walk the person who will run it through the tool for an hour.
The time the handoff takes is billed at our hourly rate, and your Membership Agreement gives the estimate. Your license carries on. The tool is still licensed and not sold, so block IV still applies.
If your firm merges or is sold
The license passes to the firm that takes over your practice. Tell us in writing when it happens. A separate firm that was not using the tool before the merger needs its own license.
When a license can end
Only if you break these terms or do not pay for the tool, and do not fix it within 30 days after we tell you in writing. If that happens, you stop using the tool and delete your copies. Your data is still yours, and we give you an export of it.
Other firms
We build similar tools for other firms. We never put your data, your clients' names or your confidential information into anything we build for someone else.
